Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Sirius IDE and any related services (collectively, the “Service”) operated by Sirius IDE (the “Provider”, “Sirius”, “we”). By using the Service you agree to these Terms together with the Public Offer and Privacy Policy, which are incorporated by reference. If you do not agree, stop using the Service.
1. The Service
Sirius IDE is a desktop development environment provided free of charge. Paid plans (the “Plans”) grant a metered monthly quota of AI tokens used by the Sirius AI Agent, which proxies prompts to third-party large-language-model APIs. You are buying access to our agent, not a subscription to any underlying third-party model.
2. Eligibility
You must be at least 18 (or the age of majority in your jurisdiction). You must not be a person subject to sanctions or located in a comprehensively embargoed country (see Offer §15).
3. Accounts & security
- You are responsible for all activity on your Account and for keeping credentials secret.
- One Account per natural person; corporate Accounts must designate a single authorised user.
- Notify us immediately at security@sirius-ide.com of any suspected breach.
- We may require additional verification (e.g. proof of identity, source of funds) where law or risk policy requires it.
4. Acceptable use
You agree not to, and not to permit any third party to:
- violate any applicable law or third-party right (including IP, privacy, sanctions, export-control or consumer-protection law);
- generate or distribute illegal, harmful or abusive content (CSAM, terrorism, weapons of mass destruction, malware, non-consensual intimate imagery, doxxing material);
- bypass quotas, rate limits, authentication, payment or licensing checks;
- reverse engineer, decompile, scrape or mirror the Service or its outputs in bulk, or use them to train a competing model;
- deploy the Service in life-critical, medical, legal, financial advisory or safety-critical contexts where AI error could cause death, personal injury or material harm;
- impersonate any person, share Account credentials, or resell access outside the official seller programme.
5. AI output & user responsibility
AI Agent output is probabilistic and may be inaccurate, biased, offensive, infringing or otherwise unsuitable. You are solely responsible for reviewing, testing and approving any AI output before relying on it, sharing it, or shipping it. Sirius is not the author of, and does not warrant, any AI output. See Offer §8.
6. Fees & renewal
Plan fees, billing cycle and renewal are described in the Public Offer §4. The Service is delivered upon credit of Tokens or Plan period to your Account and is non-refundable to the extent permitted by law (Offer §6).
7. Suspension & termination
We may suspend, restrict or terminate the Account for breach, abuse, fraud, sanctions risk, or as required by law — with or without notice and without refund. You may stop using the Service at any time. Sections that by their nature survive termination (IP, liability, indemnity, dispute resolution) continue in force.
8. Intellectual property
Sirius retains all rights, title and interest in the Service, brand, source code, documentation and underlying know-how. You retain ownership of your prompts and any output that your jurisdiction recognises as yours. See Offer §9.
9. Third-party services
The AI Agent forwards prompts to third-party providers selected at our discretion. Their availability, models and terms can change at any time. Sirius is not liable for any third-party act, outage or change of policy.
10. Warranty disclaimer
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted operation, or data integrity. Sirius does not warrant that the Service will be error-free, secure, or that defects will be corrected.
11. Limitation of liability
To the maximum extent permitted by law, Sirius is not liable for any indirect, incidental, special, punitive, exemplary or consequential damages. Aggregate liability for any claim is capped at the lesser of (a) the amount paid by you to Sirius in the three months preceding the event, and (b) USD 100. Some jurisdictions do not allow certain exclusions; in such cases the excluded liability is limited to the smallest amount permitted by applicable law. See Offer §12.
12. Indemnification
You will defend, indemnify and hold harmless Sirius from any claim, loss, damage, liability or expense arising out of your use of the Service, your violation of these Terms or of any law, your violation of third-party rights, or any content you submit or generate via the Service. See Offer §13.
13. Sanctions, export & eligibility
You confirm you are not subject to or acting on behalf of a sanctioned party, and will not use the Service to violate any export-control or sanctions law. See Offer §15.
14. Changes
We may update these Terms at any time. The latest version is always published at this URL with the “Last updated” date. Continued use after a change constitutes acceptance. If you do not accept, your sole remedy is to stop using the Service.
15. Governing law & dispute resolution
These Terms are governed by the laws of England & Wales, excluding conflict-of-laws and the UN CISG. Any dispute is resolved by binding arbitration under the LCIA Rules, seated in London, in English, by a sole arbitrator. Class-action waiver applies: claims must be brought individually. See Offer §18 for full details.
16. Severability & entire agreement
If any provision is held invalid, the remainder remains in full force. These Terms together with the Offer and Privacy Policy form the entire agreement and supersede prior understandings on the subject. Failure to enforce a provision is not a waiver of future enforcement.
